Acceptable Use Policy (AUP)

This Acceptable Use Policy ("Policy") governs all use of the Nvestiv website, platform, applications, APIs, integrations, data ingestion systems, file-processing tools, and AI-powered features (collectively, the "Services") provided by Nvestiv Capital Corporation ("Nvestiv," "we," "us," or "our"). This Policy is incorporated into and forms part of the Terms of Service and any applicable subscription or service agreements.

By accessing or using the Services, you agree to comply with this Policy. Nvestiv may update this Policy at any time. Continued use of the Services constitutes acceptance of the updated Policy.

1. Purpose and Scope

This Policy sets expectations for proper use of the Services and exists to:

  • Protect the security, integrity, and performance of the Nvestiv platform
  • Ensure lawful and compliant use of data, communications, and AI systems
  • Prevent misuse, abuse, and harm to Nvestiv, its customers, and other users
  • Clarify restrictions regarding Customer Content, Behavioral Data, and AI model usage

This Policy applies to:

  • All customers and authorized users
  • All access points (web, mobile, API, integrations)
  • All data processed, including documents, files, CRM records, AI interactions, and metadata

2. Customer Responsibilities

Users must:

  1. Use the Services in accordance with this Policy, the Terms of Service, and applicable laws.
  2. Maintain the confidentiality and security of account credentials.
  3. Ensure uploaded content is lawful and authorized for processing.
  4. Restrict access to authorized individuals only.
  5. Promptly notify Nvestiv of suspected misuse, unauthorized access, or policy violations.

3. Prohibited Conduct

Users shall not, directly or indirectly, engage in any of the following prohibited actions.

4. Security Violations and System Abuse

You may not:

  • Breach or circumvent authentication, access controls, or security protections.
  • Probe, scan, or test system vulnerabilities without written authorization.
  • Interfere with, disrupt, or degrade the performance of the Services.
  • Launch or participate in denial-of-service attacks.
  • Introduce malware, ransomware, viruses, spyware, or harmful code.
  • Attempt unauthorized access to data, accounts, or systems.
  • Use robots, scrapers, crawlers, or automated tools without permission.
  • Tamper with, disable, or attempt to bypass rate limits, usage controls, or metering systems.

5. Misuse of Artificial Intelligence Features

Nvestiv provides AI-powered analysis, summarization, extraction, and automation features. Users may not:

  • Attempt to reverse-engineer, extract, or derive any underlying AI model, embeddings, weights, prompts, or proprietary processes.
  • Perform prompt injection, model manipulation, or adversarial attacks.
  • Generate harmful, misleading, fraudulent, defamatory, or illegal content.
  • Use the Services to provide unlicensed financial, investment, or legal advice.
  • Use the platform to create deceptive or manipulated investor communications or deal materials.
  • Attempt to re-identify anonymized data or infer private information from AI outputs.

6. AI Training and Data Processing Restrictions

Nvestiv uses Customer Content solely to provide the Services and generate outputs requested by the user.

Users acknowledge and agree:

  1. Nvestiv does not use Customer Content to train or fine-tune machine learning or AI models.
  2. Nvestiv does not allow third-party AI providers (OpenAI, Anthropic, Google Gemini, etc.) to train on Customer Content.
  3. Customer Content includes documents, files, CRM data, investor lists, financials, contracts, emails, DataRoom materials, and all user-submitted information.
  4. Nvestiv may process Customer Content through enterprise AI APIs strictly for inference only, not training.
  5. Nvestiv may use Behavioral Data (prompts, interactions, clicks, usage patterns) for analytics and product improvement, but Behavioral Data:
    • Does not include Customer Content,
    • Cannot reconstruct sensitive documents,
    • Is anonymized or aggregated when used for internal analytics.

Any attempt to manipulate, bypass, or subvert these data protections is strictly prohibited.

7. Data, Content, and File Restrictions

You may not upload, transmit, or process:

  • Content you do not have lawful rights to use.
  • Confidential information in violation of NDAs or contractual obligations.
  • Malicious, harmful, or corrupted files.
  • Fraudulent, deceptive, or falsified deal materials or financial documents.
  • Sensitive data except as permitted by contract and law.

8. Intellectual Property Restrictions

Users may not:

  • Infringe upon copyright, trademark, or proprietary rights of others.
  • Upload or distribute content without proper authorization.
  • Remove or obscure proprietary notices or branding.
  • Misuse Nvestiv's trademarks or intellectual property.

9. Abuse, Harassment, or Harmful Conduct

Users may not:

  • Harass, threaten, or abuse Nvestiv staff, partners, or other users.
  • Impersonate Nvestiv personnel or other individuals.
  • Participate in phishing, social engineering, or fraud.
  • Use the Services to cause harm to individuals, businesses, or Nvestiv itself.

10. Illegal, Fraudulent, or Deceptive Activities

You may not use the Services for:

  • Money laundering or terrorist financing
  • Insider trading or financial market manipulation
  • Fraudulent investment solicitation
  • Violations of export control laws
  • Any activity prohibited by applicable law
  • Creation or distribution of fraudulent deal records, investor communications, or financial statements

11. Communications Misuse

Users may not:

  • Send spam or unsolicited commercial messages in violation of laws such as CASL, CAN-SPAM, or GDPR ePrivacy.
  • Send abusive, deceptive, or misleading communications.
  • Engage in unauthorized bulk messaging.
  • Misrepresent identity or impersonate another person or organization.

12. Resource Misuse

You may not:

  • Generate excessive traffic intended to degrade the Service.
  • Abuse compute resources, AI inference capacity, or API limits.
  • Attempt to falsify or conceal usage to avoid billing or metering.
  • Circumvent plan limits, user seat restrictions, or token allowances.

13. Prohibited High-Risk Use Cases

Unless expressly permitted in a written agreement, the Services may not be used for:

  • Military or defense applications
  • Nuclear operations
  • Medical diagnosis or treatment
  • Critical infrastructure operations
  • Automated trading or execution systems
  • Safety-critical systems where errors could cause harm

14. Enforcement and Remedies

Nvestiv may, at its sole discretion, take any action necessary to address violations of this Policy, including:

  • Issuing warnings
  • Suspending specific users
  • Limiting or disabling features
  • Suspending or terminating accounts
  • Blocking abusive traffic
  • Reporting unlawful activity to authorities
  • Pursuing legal remedies, including damages

Nvestiv will determine what constitutes a violation.

15. Reporting Violations

Report suspected violations to:

Nvestiv may request supporting details necessary to investigate.
